The gist:

InviteMember runs an affiliate program that lets approved partners earn 20% lifetime recurring commissions for qualifying referrals. The program is managed through Tolt, and commission rates, payout thresholds, and other commercial terms are shown in your affiliate portal. Commissions are earned only for qualifying referrals and transactions as defined below, calculated on net revenue, and reversed for refunds or chargebacks. We only track referrals after a visitor accepts marketing cookies, and Tolt affiliate cookies last 30 days. You must clearly disclose your affiliate relationship, follow our marketing guidelines, and use our brand assets only under a limited license. We can change or end the program at any time, and we may terminate your participation immediately for cause; if we terminate without cause, we will pay approved and pending commissions subject to normal holds and reversals.

Affiliate Terms:

These Affiliate Terms (the "Affiliate Terms") govern your participation in the InviteMember affiliate program (the "Program"). These Affiliate Terms are a standalone agreement but are based on our general Terms of Service. By applying to, enrolling in, or participating in the Program, you agree to these Affiliate Terms.

We refer to Dev Way Ltd (a company incorporated and existing under the laws of the Republic of Cyprus under the number HE 437821, mailing address is 165, Spyrou Araouzou, Lordos Waterfront Court, Office 401, 3036 Limassol, Cyprus), as "InviteMember" or "we" throughout these Affiliate Terms.

We refer to the participant in the Program as the "Affiliate" or "you" throughout these Affiliate Terms. If you are entering into these Affiliate Terms on behalf of an entity, you represent that you have the legal authority to bind, and do hereby bind, that entity to these Affiliate Terms.

1. Program Enrollment and Approval.

The Program is available by invitation or application only. We manually review and approve Affiliates. We may accept or reject any application in our sole discretion and may request additional information at any time.

2. Affiliate Portal and Third-Party Services.

The Program runs on Tolt, and your affiliate portal is available at https://affiliates.invitemember.com/. We use Stripe to accept payments for InviteMember, and Tolt is integrated with Stripe for affiliate tracking and program administration.

Your use of Tolt and Stripe is subject to their respective terms, privacy policies, and other policies. We are not responsible for the acts or omissions of third-party services.

3. Definitions.

"Qualifying Referral" means a referral tracked by Tolt using your unique affiliate link or ID, recorded within the 30-day cookie window after a visitor accepts marketing (targeting) cookies, where the visitor completes a successful InviteMember signup and creates a new user account. Referral attribution is determined at the time of signup, and a referral is not qualifying if the user account existed before the signup attempt (paid or free). The Affiliate and related parties are not qualifying referrals. We may determine account status using identifiers such as email address, company/domain, payment method, Stripe customer ID, IP address, or other data in our systems. A Qualifying Referral must not be generated by a Prohibited Method (as defined below).

"Qualifying Transaction" means subscription fees paid by the account created via a Qualifying Referral for an eligible InviteMember plan, including recurring renewals and plan changes, for as long as the account remains active and paying, unless we expressly state in the affiliate portal that certain transactions are excluded or commissionable on different terms. Add-ons, one-off fees, or other non-subscription charges are excluded unless we expressly state in the affiliate portal that they are commissionable.

"Net Revenue" means the transaction amount actually charged for a Qualifying Transaction, excluding all applicable taxes, whether calculated, collected, or remitted through the Stripe Tax service.

4. Commissions and Payouts.

Commission rates are displayed in your affiliate portal and may vary by Affiliate. You can view your commission percentage and performance statistics in your affiliate dashboard at any time. Unless the affiliate portal states otherwise, commissions are 20% and apply to Qualifying Transactions on a recurring, lifetime basis for each Qualifying Referral.

Unless otherwise stated in the affiliate portal, commissions are calculated on Net Revenue.

Commissions are approved 30-120 days after each Qualifying Transaction, depending on the transaction amount, for fraud protection.

Payouts are generated 30 days after the end of each month for commissions earned in the previous month.

We may offer special commission terms or other conditions to selected Affiliates in writing. If there is a conflict between these Affiliate Terms and a written special arrangement, the special arrangement will control for the specific Affiliate.

You may not use the Program to receive discounts or rebates on your own purchases. Self-referrals are not allowed and do not earn commissions.

We may withhold, adjust, or cancel commissions for suspected fraud, self-referrals, policy violations, or other misuse of the Program.

If a Qualifying Transaction is refunded, charged back, reversed, fails, or is later determined to be invalid or non-qualifying, any related commission will be reversed or adjusted. We may offset reversed amounts against future payouts or require repayment. Partial refunds will reduce commissions proportionally.

5. Tracking and Cookie Consent.

Referral tracking relies on cookies set by Tolt. We only set Tolt affiliate cookies after a visitor provides marketing (targeting) cookie consent on our site. If a visitor does not provide consent, the referral may not be tracked and no commission will be payable for that visit.

Tolt affiliate cookies have a 30-day duration from the time they are set.

You are responsible for complying with applicable advertising, privacy, and data protection laws, including providing any required disclosures and notices to your audience.

6. Marketing Guidelines, Disclosures, and Prohibited Methods.

Affiliates must promote InviteMember in a lawful, honest, and ethical manner. You must clearly and conspicuously disclose your affiliate relationship near any endorsement or affiliate link (for example, "I may earn a commission") and use platform-appropriate disclosure tools or labels (such as #ad, #sponsored, or similar).

You are responsible for your statements and must not make false, misleading, or unsubstantiated claims about InviteMember. Use only accurate information and approved messaging about InviteMember's features, pricing, and performance.

Without limiting the foregoing, you agree not to engage in the following practices. For purposes of these Affiliate Terms, the practices listed below are "Prohibited Methods."

• Use spam, unsolicited bulk messages, misleading claims, or deceptive marketing practices.

• Misrepresent your relationship with InviteMember or present yourself as InviteMember or an official agent.

• Use malware, spyware, or any technique that interferes with user choice or consent.

• Use cookie stuffing, forced clicks, clickjacking, invisible iframes, or any method that sets tracking cookies without a user's intentional click.

• Use pop-unders, auto-redirects, or software (including browser extensions or toolbars) that injects, overwrites, or interferes with tracking.

• Offer incentives (cash, points, rewards, or discounts) to drive clicks or purchases unless we expressly approve in writing.

• Promote unauthorized coupon codes or list InviteMember on coupon sites without our prior written approval.

• Operate sub-affiliate networks or allow third parties to place affiliate links without our prior written approval.

• Bid on, purchase, or otherwise use the "InviteMember" brand keyword (or close variations or misspellings) in paid advertising campaigns, use "InviteMember" in ad copy or display URLs, direct-link paid ads to our site, or fail to add "InviteMember" and close variants as negative keywords.

• Use the Program to obtain discounts or benefits for yourself.

We may terminate your participation if we determine, in our sole discretion, that your marketing practices are unethical, unlawful, or harmful to InviteMember or third parties.

7. Brand Assets and Trademark License.

Subject to these Affiliate Terms, InviteMember grants you a limited, non-exclusive, non-transferable, revocable license during the term to use InviteMember trademarks, logos, and approved marketing materials solely to promote InviteMember. You must follow any brand guidelines we provide, use the marks exactly as provided, and not alter them or use them in a confusing or misleading manner.

You may not register or use any domain name, social media handle, app name, email address, or advertising account that includes InviteMember or any confusingly similar term, and you may not create any content that could reasonably suggest you are InviteMember or endorsed by us beyond the affiliate relationship.

We may revoke this license at any time, and you must immediately stop using all InviteMember marks and materials upon termination or our request.

8. Term and Termination.

These Affiliate Terms are effective when you apply to or participate in the Program and continue until terminated. InviteMember may suspend or terminate your participation at any time, with or without cause, with or without notice, effective immediately.

If we terminate for cause (including fraud, policy violations, misuse, or breach of these Affiliate Terms), all unpaid commissions are forfeited and no further payouts will be made. If we terminate without cause, we will pay approved and pending commissions earned before termination, subject to our normal approval process, minimum payout thresholds, holds, and our right to reverse or withhold commissions under these Affiliate Terms.

9. Changes to the Program or Terms.

We may update the Program, commission terms, or these Affiliate Terms at any time by posting updated terms in the affiliate portal or on our website. Your continued participation in the Program constitutes acceptance of the updated terms.

10. Relationship of the Parties.

You and InviteMember are independent contractors. Nothing in these Affiliate Terms creates a partnership, joint venture, agency, or employment relationship. You have no authority to bind InviteMember or make representations on our behalf.

11. Taxes.

You are responsible for all taxes, duties, and governmental charges associated with commissions you receive under the Program.

12. Disclaimer of Warranties.

The Program and affiliate portal are provided "as is". InviteMember and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that referral tracking, attribution, or reporting will be uninterrupted or error free.

13. Limitation of Liability.

In no event will InviteMember, or its suppliers or licensors, be liable with respect to any subject matter of these Affiliate Terms under any contract, negligence, strict liability or other legal or equitable theory for: (i) any indirect, special, incidental or consequential damages; (ii) the cost of procurement for substitute services; (iii) any loss of goodwill or business reputation; (iv) interruption of use or loss or corruption of data; or (v) any amounts that exceed the commissions paid or payable to you under the Program during the twelve (12) month period prior to the cause of action. The foregoing shall not apply to the extent prohibited by applicable law.

14. Indemnification.

You agree to indemnify and hold harmless InviteMember, its contractors, and its licensors, and their respective directors, officers, employees, and agents from and against any and all claims and expenses, including attorneys' fees, arising out of your participation in the Program, your promotional activities, or your violation of these Affiliate Terms.

15. Jurisdiction and Applicable Law.

Except to the extent applicable law, if any, provides otherwise, these Affiliate Terms, and any access to or use of the Program, will be governed by the laws of the Republic of Cyprus, excluding its conflict of law provisions, and the proper venue for any disputes arising out of or relating to any of the same will be the courts located in the Republic of Cyprus.

For the avoidance of doubt, the Program is provided worldwide by Dev Way Ltd, a company incorporated in the Republic of Cyprus. Certain payment processing and technical integrations may be provided via affiliated entities, including InviteMember LLC, without affecting the applicable law or jurisdiction governing these Affiliate Terms.

16. Miscellaneous.

These Affiliate Terms constitute the entire agreement between InviteMember and you concerning the Program. If any part of these Affiliate Terms is held invalid or unenforceable, that part will be construed to reflect the parties' original intent, and the remaining portions will remain in full force and effect.

InviteMember may assign its rights and obligations under these Affiliate Terms to third parties without consent of the Affiliate. The Affiliate is entitled to assign its rights and obligations under these Affiliate Terms to any third party only with prior written consent of InviteMember.

Nothing in these Affiliate Terms shall be construed as creating a joint venture, an agency relationship or a legal partnership between InviteMember and the Affiliate. InviteMember has the right to involve third parties for the fulfillment of its obligations.

These Affiliate Terms were originally written in English (US). We may translate these Affiliate Terms into other languages. In the event of a conflict between a translated version and the English version, the English version will prevail.
